2. Service Description and Nature

IMPORTANT DISCLAIMER: Intratio provides AI-powered statistical market analysis, mathematical model outputs, and financial data tools for EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. The platform provides general market commentary and mathematical outputs based on objective market data. The models do not account for individual user profiles, financial situations, or investment objectives. Our services include but are not limited to:

• Statistical stock price forecasting models and quantitative market analysis
• A mathematical portfolio calculation tool based on Modern Portfolio Theory (MPT) formulas applied to user-inputted data, provided as a simulation tool for educational purposes only
• Market trend analysis and quantitative forecasting based on historical data patterns

INTRATIO IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, FINANCIAL INSTITUTION, OR REGULATED INVESTMENT FIRM UNDER MIFID II (DIRECTIVE 2014/65/EU). Intratio is not authorised or regulated by the Belgian Financial Services and Markets Authority (FSMA) or any other financial supervisory authority. The Service does not constitute, and shall not be construed as, the provision of investment advice, portfolio management, or any other investment service as defined in Annex I, Section A of MiFID II.

The Service exclusively provides general market commentary and statistical model outputs, which fall within the scope of financial analysis and general recommendations under Annex I, Section B(5) of MiFID II. All outputs are:

3.2 Portfolio Calculation Tool

The Portfolio Tool available on the platform is a mathematical calculator that applies standard quantitative finance formulas (including Modern Portfolio Theory) to user-inputted data. It is a simulation and educational tool only. The outputs of this tool represent mathematical computations, not investment advice or personal recommendations. The tool does not take into account any user's individual financial situation, risk tolerance, or investment objectives. Users are solely responsible for interpreting any outputs and for any decisions made based thereon.

5. Comprehensive Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

INTRATIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• FINANCIAL LOSSES OR INVESTMENT LOSSES OF ANY KIND
• LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• DATA LOSS OR CORRUPTION
• BUSINESS INTERRUPTION OR SYSTEM DOWNTIME
• EMOTIONAL DISTRESS OR MENTAL ANGUISH
• THIRD-PARTY CLAIMS OR ACTIONS
• ANY OTHER DAMAGES ARISING FROM USE OF OUR SERVICES

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF INTRATIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL INTRATIO'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO INTRATIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS LESS.

By using our services, you represent and warrant that:

• You are at least 18 years old and have legal capacity to enter contracts
• You understand the risks associated with financial markets and investing
• You have sufficient financial resources to bear potential losses
• You will not use our services for any illegal or unauthorized purposes
• You will comply with all applicable laws and regulations
• You understand that our predictions are not guarantees
• You will not hold Intratio liable for investment losses
• All information you provide is accurate and complete

7. Prohibited Uses and Conduct

You are prohibited from:

• Using our services for market manipulation or illegal trading activities
• Reverse engineering, decompiling, or attempting to extract our algorithms
• Sharing, reselling, or redistributing our predictions or analyses
• Creating automated systems to scrape or harvest our data
• Interfering with or disrupting our services or infrastructure
• Using our services to compete with us or create similar services
• Violating any applicable laws, regulations, or third-party rights
• Transmitting malicious code, viruses, or harmful software

Violation of these prohibitions may result in immediate termination of your account and legal action.

All content, software, algorithms, designs, text, graphics, logos, and other materials on our platform are the exclusive property of Intratio or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for personal, non-commercial purposes only. This license does not include the right to:

• Copy, modify, distribute, or create derivative works
• Reverse engineer or attempt to discover source code
• Remove proprietary notices or labels
• Use our intellectual property for commercial purposes

9. Data Accuracy and Service Availability

While we strive to provide accurate and up-to-date information, we make no warranties regarding:

• The accuracy, completeness, or timeliness of market data
• The reliability or performance of our AI algorithms
• Continuous availability of our services
• Freedom from errors, bugs, or technical issues
• Compatibility with all devices or browsers

We reserve the right to modify, suspend, or discontinue our services at any time without notice.

10. Subscription Terms and Billing

For premium services:

• Subscriptions automatically renew unless cancelled
• Billing occurs at the beginning of each billing cycle
• No refunds for partial months or unused services
• Price changes may occur with 30 days notice
• Failed payments may result in service suspension

Cancellation requests must be submitted through our cancellation form before the next billing cycle.

You agree to indemnify, defend, and hold harmless Intratio, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of our services
• Your investment decisions based on our information
• Your violation of these Terms
• Your violation of applicable laws or third-party rights
• Any content you submit or transmit through our services

Intratio shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, internet outages, market closures, or other force majeure events.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Belgium, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the courts of Brussels, Belgium.

You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Intratio regarding your use of our services.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on our website with the updated effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including violation of these Terms. Upon termination, your right to use our services ceases immediately, and you must destroy any downloaded materials.

17. Regulatory Status and User Compliance

Intratio is a Belgian technology platform providing statistical analysis and educational financial data tools. Intratio is not authorised, registered, or regulated as an investment firm, credit institution, or financial advisor under MiFID II, the Belgian Law of 2 August 2002 on financial supervision, or any equivalent legislation. The platform does not provide any investment services as listed in Annex I, Section A of Directive 2014/65/EU (MiFID II).

Users are solely responsible for compliance with all applicable financial regulations in their jurisdiction, including but not limited to securities laws, anti-money laundering regulations, and tax reporting requirements. The availability of the Service in any jurisdiction does not constitute an offer or solicitation to buy or sell any financial instrument.
